The course will cover the life cycle of a company focusing on the practical duties and responsibilities of a company secretary at each stage of this cycle.

This practical course will provide you with a thorough and up-to-date understanding of the duties and responsibilities of a company secretary.

You will focus on the areas a company will be concerned with both at the outset and on a daily and annual basis, including how to incorporate (reviewing the forms that you would use in practice) and covering key areas of company legislation with which a company secretary must be concerned.

The course ensures a practical focus throughout using forms that you would use in practice together with other practical exercises to ensure you leave the course with a clear understanding of the valuable role a company secretary plays.

Programme outline

  • appreciate how to incorporate a company (including understanding all of the initial concerns to be dealt with prior to incorporation, such as:
  • memorandum (including objects clauses and the legal implications of this document);
  • Choice of articles (and how to change them later);
  • Registered office/SAIL; and
  • Choice of name (and rules surrounding its display));
  • understand the role of directors and the company secretary (including how to appoint these officers and the duties of a company secretary);
  • understand how to issue new shares and transfer existing shares;
  • consider other day to day issues such as administering board and general meetings, resolutions and how to execute documents as well as the maintenance of the statutory registers and records; and
  • appreciate the annual events of a company (i.e. confirmation statement, accounts and when an AGM is required).

The course starts at 9.30am. Lunch and refreshments are included.
